Job Description



 



Special Counsel is currently recruiting a Paralegal or Legal Assistant for a company in Rolling Meadows, IL.    The Paralegal will assist in-house attorneys with a broad range of business matters, with a focus on working with outside counsel to keep track of and help manage patent and trademark portfolios, work with the engineering team and outside counsel to manage open source notice requirements, manage various types of regulatory certifications, and to work with the general counsel to manage outside counsel spend as well as the legal database.  
Responsibilities:



  • Help prepare materials for trademark registration filings and maintain trademark and patent application database, as well as assist with patent and trademark filings, pulling information as directed

  • Assist with paperwork needed by regulatory bodies.

  • Respond to Requests for Information.

  • Assist with preparation and response to RFPs and RFQs, including manufacturer’s certifications

  • Organize and maintain legal data room.

  • Work with product development, outside counsel and internal intellectual property counsel to manage our open source notice requirements

  • Organize and analyze our outside counsel spend.

  • Assists in implementing changes to contracts to comply with legislation/regulations.

  • Responsible for support related to litigation, mediation, arbitration, and responses to complaints.

  • Renewing and maintaining company licensing.

  • Drafting, filing and managing various business entity documents for corporations, LLCs and partnerships with State agencies.

  • Assist with ethics and compliance programs.

  • Drafting legal contracts, correspondence and other documents.

  • Other projects as assigned by the General Counsel


  • Qualifications:



  • Bachelor’s Degree

  • Paralegal certificate preferred

  • Minimum three years’ experience working as a paralegal or legal assistant at a law firm or in-house legal department, preferably experience in a technology company or start up

  • Strong written and oral communication skills

  • Excellent computer skills (Word, Excel, Power Point, Sharepoint)

  • Excellent judgment and discretion, with ability to perform complex, advanced, confidential administrative duties and assume significant and varied responsibilities related to the General Counsel office, often with little supervision

  • Ability to juggle varied assignments and prioritize among those assignments, meet deadlines
